These Contractual Terms govern the relationship betweenKingstutorand any corporate entity, enterprise, institution, agency, NGO, training center, or individual ("Partner") that wishes to partner with or use Kingstutor's services. By entering into an agreement with Kingstutor, the Partner acknowledges and agrees to these terms.

1. Scope Of Agreement

Kingstutor provides online education and training solutions, including tutor-matching services, custom corporate learning programs, and white-label educational platforms
Partners may engage with Kingstutor as clients, service providers, or affiliates in accordance with these terms
This agreement does not create an employment relationship between the Partner and Kingstutor

Important: All partnerships are governed by written agreements and may include additional specific terms.

2. Partnership Terms

Partners shall abide by Kingstutor's policies, quality standards, and ethical guidelines
All agreements must be in writing and may be subject to additional terms as mutually agreed
Kingstutor reserves the right to refuse partnerships that conflict with its mission or regulatory obligations

Partnership decisions are made based on alignment with Kingstutor's educational mission and compliance requirements.

3. Financial Terms & Revenue Sharing

Service Fees & Commissions

Kingstutor charges a 15% commission on all transactions processed through the platform.

Corporate and institutional clients may be subject to subscription or licensing fees as per contractual agreements.

Payment & Invoicing

Payments must be made through Kingstutor's designated payment gateway
Partners are responsible for any applicable taxes or additional fees associated with their use of Kingstutor's services
Refund policies, where applicable, are governed by Kingstutor's Refund Policy

4. Responsibilities & Obligations

Kingstutor's Responsibilities

Provide access to a secure and high-quality e-learning platform
Maintain user data security and privacy in compliance with applicable laws
Offer technical support and administrative assistance as needed
Ensure platform reliability and performance standards

Partner's Responsibilities

Ensure compliance with all applicable laws and regulations when using Kingstutor services
Provide accurate and up-to-date information when creating accounts or onboarding students
Maintain professional and ethical conduct in all engagements on the platform
Adhere to agreed service levels and quality standards

5. Data Protection & Confidentiality

Kingstutor complies with GDPR, CCPA, and other relevant data protection laws.

Partners must not misuse or share confidential information obtained through Kingstutor
Both parties agree to keep proprietary information confidential and only use it for agreed purposes
Data sharing arrangements must comply with applicable privacy regulations
Security breach notification procedures must be followed by all parties

6. Termination & Suspension

Either party may terminate this agreement with 30 days' written notice..

Kingstutor may suspend or terminate a Partner's access to services in cases of:

Breach of contract or platform policies
Fraudulent activities or misrepresentation
Non-payment of fees or financial obligations
Violation of data protection or confidentiality requirements

Important: Termination does not exempt Partners from any financial obligations incurred prior to termination.

7. Liability & Disclaimers

Kingstutor is not responsible for any indirect, incidental, or consequential damages arising from platform usage
Partners assume full responsibility for compliance with local laws when using Kingstutor services
Kingstutor does not guarantee specific learning or financial outcomes from its services
Platform availability and performance are provided on an "as-is" basis

Note: Liability limitations are subject to applicable law and may not apply in all jurisdictions.

8. Dispute Resolution

Disputes shall be resolved through the following escalation process:

Initial good faith negotiations between the parties
Mediation through an agreed neutral third party
Arbitration in the jurisdiction specified in the written contract
Legal proceedings, if necessary, in the agreed jurisdiction

Specific jurisdiction and arbitration procedures will be detailed in individual partnership agreements.

9. Modification Of Terms

Kingstutor reserves the right to update these Contractual Terms at any time to reflect changes in business practices, legal requirements, or platform capabilities.

Partners will be notified of significant changes via email or platform notifications
Continued use of Kingstutor services constitutes acceptance of the updated terms
Major contractual changes may require written agreement from both parties
